Can I trade Exodus shares from anywhere in the world?
Our goal is to offer Exodus shares to as many jurisdictions as possible over time. At the moment, trading Exodus shares will be available for tax residents of the following jurisdictions and territories:

How to register with Securitize
The first thing you will need is a Securitize ID. If you already have one linked to your Exodus wallet, you can skip to the next section and begin your tZERO registration. If you don’t, you can register for a Securitize ID on the Investor Profile page of our Shares app.
First, in the Exodus wallet click on the Shares app:
Next, click Create Your Profile.
Then a new page will invite you to register as an investor by linking your Securitize ID to Exodus by clicking Link under the heading “Step 1: Securitize ID.”
A screen confirms that the Exodus public offering is closed, but you are invited to click Continue to Securitize to get your Securitize ID, a required step for you to acquire Exodus shares, even on a secondary market.
If you click Continue to Securitize, you will be taken to the Securitize website for registration. Follow the instructions there to complete the process.
If you already have a Securitize ID, and your “Step 2: Verification Status” indicates that you are “Verified,” then you can request an account with tZERO. This is the necessary next step to acquire Exodus shares. Once your account is active on tZERO, you will be able to log in and acquire or trade Exodus shares.
If you already have a Securitize ID, you can skip to the next section.
How to sign up with tZERO so you can start trading Exodus shares
If you don’t have EXIT tokens and have not yet created a tZERO account, when you navigate to the EXIT wallet you will see this screen:
If you click Register to Trade, you will be taken through a short process of applying for a tZERO account through your Exodus wallet.
You will see a button marked Start My Account. Once you have an active account on tZERO, you can send, receive, buy more, or sell what you already have on the tZERO market. Please note that it may take a few business days for your account to be created and verified.
Click Start My Account. We have worked hard to streamline the onboarding process with tZERO. The setup is automatic and only shares your data privately with tZERO.
We will streamline your application for a tZERO account. On the screen with the headline “Your Trading Account” click Start My Account.
This will link with tZERO. This screen will appear:
A celebratory screen will appear announcing that we have successfully shared your information with tZERO and the process for you to open an account with them has begun!
You will then see this screen:
Within three business days, you will receive an email from tZERO with instructions on completing your account setup. Follow the link in that email to tZERO’s website.

Follow the instructions provided in the email by tZERO.
First, you’ll be asked to Create a Password. Clicking this will take you to tZERO’s website. You will find that we have streamlined the account creation process by securely sharing information from your Securitize ID with tZERO. So when you begin your tZERO account creation process, most of your information will automatically have been entered for you.
Once you’ve created a password, you’ll be asked to sign in with the email address at which you received the initial email from tZERO and your new password.
The first time you do this, you’ll be asked to add 2FA, or “Two Factor Authentication.” This is an important, obligatory extra step to keep your account secure. Each time you log in to tZERO, you’ll use your email address and password, but then you will also be asked to authenticate either by receiving a verification code as an SMS on your phone, or by using the Google Authenticator app.
You can choose whichever option you prefer, but from a security standpoint, Google Authenticator is recommended.
Next, you must review your joint application (joint in the sense that we at Exodus have securely shared the information you provided to get your Securitize ID in order to streamline your tZERO application process). You will find that we have already provided most of the application information, though there may be a few fields that you need to fill in yourself. Please also double-check the information we provided, to ensure its accuracy.
Click Save and Continue.
Within two business days, you should receive an email from tZERO confirming that your application has been approved and you can begin trading!
Until your application is approved, if you click View Portfolio, you’ll see a screen like this:

What does it mean if I get a message that «EXIT can only be sent to an address that belongs to a Securitize investor»?
You will receive this message if you try to send Exodus shares to an address that is not whitelisted in the Securitize database. In order to send Exodus shares, the destination address must belong to a Securitize user that has associated (whitelisted) their address in Securitize.
Part of the requirements when selling shares through a Reg A+ offering like we did, is to use a registered transfer agent that keeps track of the Company’s shareholder records and ensures we can send our required disclosures to the right people, at the right place. The only way to effectively keep these records is to require all trading to take place on Securitize’s database.
What does it mean if I get a message that “Trading is not yet available” for me?
Some jurisdictions, due to regulatory restrictions, are not able to trade immediately. If that is the case, then you’ll see a screen like this:

How does Exodus make money?
We derive our revenues from API integration fees that we charge to third parties who develop applications that our customers can access from the Exodus Wallet through an API.
How can I learn more about the company and your business model?
Exodus is the maker of the Exodus Wallet, which provides an easy-to-use interface that enables our customers to manage their crypto assets on their desktop computers and mobile phones or transfer their assets to physical storage devices such as Trezor for added security.
The Exodus Wallet is non-custodial, meaning that our customers’ private keys are encrypted locally on their own devices and Exodus can never access or take control of our customers’ funds. We derive our revenues from API fees that we charge to third parties who develop applications that our customers can access from the Exodus Wallet through an API.
Our desktop platform was first released in December 2015 to address an underserved market opportunity by allowing customers to access advanced wallet technology on the desktop. What happens if I already have a tZERO account?
Exodus shares became available to trade in tZERO on September 14, 2021. If you have a tZERO account with the same email as your SecuritizeID, you will be ready to set up your tZERO account to trade.
If your tZERO account was made with a different email address than the one you provided to Securitize, you may need to create another tZERO account through Exodus, using the same email you provided to Securitize.
Will I have to transfer my Exodus shares to tZERO?
Yes, you will need to send your Exodus shares to tZERO.

Exodus common stock tokens (EXIT) will be released on Algorand.

As stated in the offering circular that was included as part of the offering statement qualified by the SEC on April 8, 2021, on December 31, 2020, Exodus had 20,012 Class B shares outstanding. How does Exodus comply with OFAC sanctions requirements?
Exodus does not permit its services to be used by people or entities located in sanctioned countries or who are on the OFAC lists or other applicable restricted party lists. Exodus is committed to complying fully with all applicable laws and regulations related to export controls and trade sanctions. Exodus has appointed a Sanctions Compliance Officer, who oversees the sanctions compliance program. Exodus has implemented geo-IP blocking technology to block downloads of the Exodus Wallet from the exodus.com website by IP addresses associated with sanctioned countries, including Iran, Cuba, and North Korea and the Crimea region of Ukraine. Exodus screens its employees, independent contractors, and other third-party business partners against the OFAC Lists and other applicable restricted party lists.
